Public offer

This is an English translation of the public offer, provided for convenience. In case of any discrepancy between the Ukrainian and English versions, the Ukrainian version prevails.
This public offer (the "Offer") is a proposal by the individual entrepreneur Yevhenii Oleksandrovych Tykhonov (the "Seller") to enter into an agreement with any person for attending an Event with a Ticket purchased on the Website (the "Agreement"). The Offer is a public contract within the meaning of Articles 633 and 641 of the Civil Code of Ukraine, and its terms are the same for all Buyers.
1. Seller
1.1. Seller: individual entrepreneur (FOP) Tykhonov Yevhenii Oleksandrovych, taxpayer registration number (RNOKPP) 3288707697.

1.5. The Seller is the organizer of the Events for which Tickets are sold on the Website under this Offer.
1.6. The Offer applies to Ticket sales in Ukrainian hryvnia (UAH). If Tickets to a particular Event are sold in euro, they are sold by a different seller under a separate offer, which the Buyer sees before payment.
2. Definitions
2.1. Website: the website https://vechornytsi.org, including the ticket selection pages, the checkout page and the Tickets page available via a private link.
2.2. Buyer: an individual who places and pays for an Order on the Website.
2.3. Attendee: a person who comes to an Event with a Ticket. This is the Buyer or a person to whom the Buyer has given a Ticket.
2.4. Event: a concert or other cultural or entertainment event whose details (title, date, start time, location, prices, attendance conditions) are published on the Event page of the Website.
2.5. Venue: the place where the Event is held.
2.6. Order: Tickets to one Event placed and paid for by the Buyer in a single transaction.
2.7. Ticket: an electronic document entitling one person to one entry to an Event. A Ticket has a unique number encoded in a QR code and a barcode (together, the "Code").
2.8. Payment Service: WayForPay, on whose secure page the Buyer pays for the Order.
3. Subject of the agreement
3.1. The Seller undertakes to hold the Event and admit an Attendee with a valid Ticket, and the Buyer undertakes to pay for the Tickets on the terms of this Offer.
3.2. The Event title, date, start time, Venue, Ticket categories and prices are stated on the Event page. The details in effect at the moment of payment form part of the Agreement.
4. Price and payment
4.1. Ticket prices are shown on the Website in hryvnia. The Seller does not charge a service fee.
4.2. The Order is paid on the secure page of the Payment Service by Visa or Mastercard bank card, Apple Pay or Google Pay. The Buyer enters card details only on the Payment Service page; the Seller does not receive them.
4.3. The Payment Service charges the Buyer a payment processing commission. As of this version it is 2% of the Order amount. The commission amount is shown on the Website before the "Proceed to payment" button and is included in the amount payable.
4.4. If the Buyer has a promo code, it is entered on the checkout page. The discount is shown before payment and applies on the terms of the specific promo code.
4.5. The Seller may change prices of unpaid Tickets. The price of an Order already paid does not change.
5. Placing an order
5.1. For a seated Event, the Buyer selects seats on the hall map. For an Event without seating, the Buyer selects the number of Tickets in a category or zone, without an assigned seat.
5.2. One Order may contain no more than 8 Tickets.
5.3. Selected Tickets are held for the Buyer for 10 minutes from the first selection. Once the Buyer proceeds to checkout, the hold lasts 15 minutes, and the payment invoice is valid for the same time. If payment is not received within this time, the hold is released and the Tickets return to general sale.
5.4. To place an Order, the Buyer provides only an e-mail address. Tickets and notices about the Event are sent to it. The Buyer is responsible for the address being correct.
5.5. On the checkout page the Buyer may separately agree to receive news and announcements. The checkbox is not pre-ticked and is not a condition of purchase.
5.6. Before payment, the Buyer may abandon the Order simply by not paying for it.
6. Acceptance and conclusion of the agreement
6.1. Acceptance of the Offer is the Buyer pressing the "Proceed to payment" button on the checkout page after reading the Offer, a link to which is placed next to the button.
6.2. The Agreement is concluded at the moment of successful payment of the Order, that is, when the Payment Service has confirmed the payment.
6.3. The Agreement is concluded in electronic form in accordance with the Law of Ukraine "On Electronic Commerce". The e-mail with the Tickets confirms its conclusion.
6.4. If payment is not confirmed, the Agreement is not concluded. If the bank has blocked funds on the card, the bank releases them under its own rules.
6.5. If payment arrives after the hold has expired and the Tickets are no longer available, the Agreement is not concluded and the Seller refunds the amount paid to the card used for payment.
7. Tickets
7.1. After payment is confirmed, the Buyer receives an e-mail with the Tickets: a PDF file for each Ticket and a private link to the Tickets page on the Website.
7.2. Each Ticket has a QR code and a barcode with the same number. The Ticket may be shown on a phone screen or printed.
7.3. If the e-mail has not arrived, the Buyer may resend the Tickets to the same address via the "Didn't get the email" («Не прийшов лист» in Ukrainian) link on the Website or write to the e-mail stated in clause 1.3.
7.4. Tickets are not personalised. The Website has no function for transferring or reselling Tickets.
7.5. The Buyer keeps the Code private: whoever shows the Code at the entrance first will be admitted with it. Tickets should therefore not be published or forwarded to third parties.
7.6. Reselling Tickets at a price higher than the one stated on the Ticket is not permitted. The Seller is not responsible for Tickets purchased anywhere other than the Website.
8. Entry to the event
8.1. The door opening time is stated on the Event page and in the Ticket. Age restrictions, if any, are stated on the Event page. If no age restriction is stated, children under 16 attend the Event accompanied by an adult.
8.2. One Code gives one entry. The first scan of the Code admits the Attendee; any repeated scan of the same Code, including from a copy, is refused.
8.3. The Attendee follows the Venue rules and safety requirements, including during an air raid alert. For a serious breach of these rules the Attendee may be refused entry or removed from the Venue.
8.4. If the Event took place and the Attendee did not come, was late, was refused entry for breaching the Venue rules or lost the Code, the Agreement is deemed performed and the Ticket price is not refunded.
9. Cancellation, rescheduling and refunds
9.1. If the Seller cancels the Event, the Seller notifies the Buyer by e-mail to the Order address and refunds the Ticket price to the card used to pay for the Order. The Payment Service commission (clause 4.3) is not refunded.
9.2. The time it takes for funds to reach the card depends on the Buyer's bank. After the refund, the Tickets in the Order become invalid.
9.3. Refunds are made only for the entire Order, not for individual Tickets in it.
9.4. If the Seller moves the Event to another date or another Venue, the Tickets automatically remain valid, and the Buyer receives an e-mail about the change at the Order address. A Buyer who cannot attend the rescheduled Event is entitled to a refund of the Ticket price if the Buyer makes a request under clause 9.6 within 14 calendar days of the date the rescheduling e-mail was sent. The refund is made under clauses 9.1–9.3. After this period, the Tickets remain valid for the new date and their price is not refunded.
9.5. After payment, the Buyer may not withdraw from the Agreement on their own initiative with a refund, because the Event takes place on a specific date and paid Tickets are withdrawn from sale to other buyers. The parties agree on this term on the basis of Articles 6 and 627 of the Civil Code of Ukraine. Once it enters into force, the Law of Ukraine "On Consumer Rights Protection" No. 3153-IX of 10 June 2023 does not extend the right to withdraw from a distance contract to leisure services where the contract provides for a specific date of performance. This term does not limit any rights of the Buyer that by law cannot be limited by contract.
9.6. For refund matters, the Buyer writes to vechornytsi.org@gmail.com, stating the e-mail address used for the Order and the Order number.
9.7. The Seller never asks for a payment card number, CVV code, SMS codes or copies of identity documents.
10. Obligations of the parties
10.1. The Buyer undertakes to:
- provide a correct e-mail address;
- read the Event details on its page before payment;
- keep the Code away from third parties;
- follow the Venue rules and ensure that Attendees to whom the Buyer has given Tickets follow them;
- be responsible for minors for whom the Buyer purchases Tickets.
10.2. The Seller undertakes to:
- send the Tickets after payment is confirmed;
- hold the Event on the stated date, at the stated time and Venue, or notify the Buyer of rescheduling or cancellation;
- make refunds in accordance with section 9;
- respond to Buyers' requests.
10.3. The Seller may engage third parties to perform the Agreement, including the Payment Service, an e-mail delivery service and Website hosting.
11. Personal data
11.1. The Seller processes personal data in accordance with the Privacy Policy. Only the Buyer's e-mail address is needed to conclude and perform the Agreement.
11.2. Consent to news and announcements and consent to advertising and analytics services are given separately, are not a condition of purchase and may be withdrawn at any time.
12. Liability
12.1. The parties are liable for breach of the Agreement in accordance with the laws of Ukraine.
12.2. The Seller is not liable for:
- Tickets not received because the Buyer provided an incorrect e-mail address;
- entry by another person using a Code that the Buyer disclosed or passed on;
- Tickets purchased anywhere other than the Website;
- delays caused by banks or the Payment Service.
12.3. If the Event is held in accordance with its description on the Website, a mismatch between the Event and the Attendee's personal expectations is not a breach of the Agreement.
13. Force majeure
13.1. The parties are released from liability for non-performance of the Agreement caused by force majeure: hostilities, shelling, air raid alerts, decisions of public authorities, natural disasters, accidents and other extraordinary circumstances that the parties could not foresee or prevent.
13.2. Force majeure circumstances are certified in the manner established by the laws of Ukraine, in particular by a certificate of the Chamber of Commerce and Industry of Ukraine.
13.3. If due to such circumstances the Event cannot take place on the stated date, the Seller cancels or reschedules it, and the rules of section 9 apply.
14. Requests and disputes
14.1. The Buyer sends claims and other requests to vechornytsi.org@gmail.com. The Seller responds within 14 calendar days of receipt.
14.2. The Agreement is governed by the laws of Ukraine.
14.3. A dispute that could not be settled by correspondence is resolved by a court in accordance with the procedural law of Ukraine. The Buyer as a consumer has the right to bring a claim in the court of their place of residence and to apply to consumer protection authorities.
14.4. If any provision of the Offer is held invalid, the remaining provisions continue in effect.
15. Changes to the offer
15.1. The Seller may change the Offer by publishing a new version on the Website with its date.
15.2. A new version applies to Orders paid after its publication and does not affect Orders already paid.
